USER AGREEMENT

1. Introduction

Welcome to SingWithMe Records Ltd ("SingWithMe", "the Platform", "Company", "we", "our", or "us").

This User Agreement is a legally binding agreement between SingWithMe Records Ltd and every person or organisation using our platform.

It explains the rights, responsibilities and obligations of all platform users.

2. Acceptance of this Agreement

you acknowledge that you have read, understood and agreed to comply with this User Agreement.

If you do not agree with any part of this Agreement, you must discontinue use of the platform immediately.

• Future Marketplace Participants

Each category of user must comply with this Agreement.

5. User Accounts

Users are responsible for maintaining the security of their accounts.

You agree to:

• keep login credentials confidential;
• use accurate registration information;
• promptly update inaccurate information;
• notify us of unauthorised access;
• avoid sharing your account.

You remain responsible for all activity conducted through your account.

6. Account Verification

To maintain platform integrity, SingWithMe Records may request verification of:

• identity;
• age;
• business registration;
• payment information;
• contact information;
• ownership of uploaded content.

Failure to provide requested verification may result in restrictions on platform functionality.

7. Artist Responsibilities

Artists agree to:

• upload only content they own or have legal rights to distribute;

• avoid misleading information;
• comply with copyright laws;
• comply with platform policies;
• respect other creators’ rights.

Artists remain solely responsible for the legality of their uploaded content.

8. Producer Responsibilities

• respect licensing agreements;
• avoid copyright infringement;
• deliver services honestly and professionally.

9. Songwriter Responsibilities

Songwriters agree to:

• avoid plagiarism;
• comply with intellectual property laws.

10. Service Provider Responsibilities

Service providers offering creative services through the platform agree to:

Examples include:

• mixing;
• mastering;
• graphic design;
• photography;
• music production;
• video editing;

11. Customer Responsibilities

Customers agree to:

• provide accurate payment information;
• use purchased content lawfully;
• comply with applicable licence terms;
• avoid fraudulent transactions;
• respect intellectual property rights.

Customers must not misuse downloaded content.

12. Account Security

Users must take reasonable steps to protect their accounts including:

• choosing strong passwords;
• enabling available security features;
• protecting login credentials;
• avoiding unauthorised account sharing.

The Company is not responsible for losses arising from failure to maintain account security.

13. User Representations

Every user represents and warrants that:

• information provided is truthful;
• uploaded content is lawful;
• necessary permissions have been obtained;
• platform use complies with applicable law;
• use of the platform does not infringe third-party rights.

False representations may result in suspension or termination.

14. User Conduct

Users agree to behave respectfully and professionally.

Users must not:

• harass others;
• threaten users;
• impersonate another person;
• publish defamatory content;
• interfere with platform operations;
• attempt unauthorised access;
• distribute malicious software;
• engage in fraudulent conduct.

Respectful participation is essential to maintaining the SingWithMe community.

15. Content Ownership

Unless otherwise agreed in writing:

• users retain ownership of their original content;
• uploading content does not transfer ownership to SingWithMe Records;
• users grant the platform only the licences necessary to operate the service as described in the Terms & Conditions.

Users remain responsible for protecting their own intellectual property rights.

16. Content Licensing

By uploading content to the SingWithMe Records platform, you confirm that you own, control, or have obtained all necessary rights, licences, permissions, and consents required to upload, publish, distribute, display, stream, or otherwise make such content available through the Platform.

You retain ownership of your original content.

However, by uploading content, you grant SingWithMe Records a non-exclusive, worldwide, revocable (subject to platform operations), royalty-free licence to:

• host your content;
• store your content;
• reproduce your content for technical purposes;
• display your content on the platform;
• stream your content;
• promote your content within the platform;
• create technical copies required for backups and content delivery;
• distribute your content where authorised by you.

This licence exists solely for operating and improving the Platform and does not transfer ownership of your intellectual property.

17. AI-Generated Content

SingWithMe Records supports innovation while promoting responsible use of Artificial Intelligence.

Users may upload AI-generated or AI-assisted content where permitted by applicable law and platform policies.

Users uploading AI content agree that:

• they possess all necessary rights;
• no third-party copyrights are infringed;
• no person's voice, likeness or identity is unlawfully replicated;
• AI content is accurately represented where disclosure is required;
• all applicable intellectual property laws have been followed.

AI-generated content may be subject to additional review or moderation.

Where the Platform introduces separate rules for AI content, users agree to comply with those rules.

18. Marketplace Participation

Where marketplace functionality is available, users may buy or sell products and services through the Platform.

Participants agree to:

• act honestly;
• provide accurate descriptions;
• fulfil agreed obligations;
• communicate professionally;
• comply with all marketplace policies.

Marketplace transactions remain subject to verification, fraud prevention procedures, and applicable platform policies.

19. Purchases

Customers agree that purchases made through the Platform are subject to:

• payment verification;

• applicable taxes;
• refund eligibility;

Prices displayed may change without prior notice unless otherwise required by law.

20. Payments

Users acknowledge that:

• transactions may be delayed where fraud is suspected;
• payment providers operate under their own terms and conditions.

SingWithMe Records is not responsible for errors caused by third-party payment processors.

21. Escrow and Holding of Funds

Where the Platform implements an escrow or temporary holding system, users acknowledge that funds may be retained before becoming eligible for release.

The objectives of temporary holding include:

• payment verification;
• fraud prevention;
• chargeback protection;
• dispute management;
• consumer protection.

22. Intellectual Property Rights

Users acknowledge that all trademarks, branding, logos, software, databases, website design, graphics, and platform technology owned by SingWithMe Records remain the exclusive property of the Company unless otherwise stated.

Nothing in this Agreement grants users ownership of Company intellectual property.

Users may not:

• copy platform software;
• reproduce branding;
• modify proprietary technology;
• reverse engineer platform systems;
• create derivative works without written permission.

23. Copyright Enforcement

Where SingWithMe Records receives a valid copyright complaint, the Company may:

• investigate the complaint;
• request supporting documentation;
• temporarily disable content;
• permanently remove content;
• suspend associated accounts;
• cooperate with rights holders;
• comply with applicable legal obligations.

Repeated copyright violations may result in permanent removal from the Platform.

24. Community Standards

Users are expected to contribute positively to the SingWithMe community.

Community expectations include:

• respectful communication;
• constructive feedback;
• lawful behaviour;
• professional conduct;
• honest business practices;
• respect for diversity.

Behaviour likely to undermine the community may result in moderation action.

25. Prohibited Activities

Users must not:

• upload unlawful material;
• engage in copyright infringement;
• impersonate another person;
• distribute malware;
• attempt unauthorised access;
• create fake accounts;
• artificially manipulate rankings;
• artificially inflate streams or engagement;
• conduct fraudulent transactions;
• engage in phishing;
• harass other users;
• publish hateful or discriminatory content;
• interfere with Platform operations.

The Company reserves the right to determine whether conduct violates this Agreement.

26. User Liability

Users accept full responsibility for:

• content uploaded;
• information provided;
• purchases made;
• services offered;
• compliance with applicable law;
• compliance with platform policies.

Users are liable for losses or damages resulting from their own unlawful conduct.

27. Account Restrictions

The Company may temporarily restrict access where necessary to:

• investigate complaints;
• verify identity;
• prevent fraud;
• protect other users;
• comply with legal obligations;
• investigate copyright claims.

Restrictions may affect some or all Platform features until investigations are completed.

28. Account Suspension

Accounts may be suspended for reasons including:

• repeated policy violations;
• suspected fraud;
• copyright infringement;
• abusive behaviour;
• false information;
• payment abuse;
• unauthorised account sharing;
• security concerns.

Suspension may occur without prior notice where immediate action is necessary to protect the Platform or its users.

29. Account Termination

SingWithMe Records reserves the right to terminate user accounts where:

• serious violations occur;
• unlawful conduct is identified;
• repeated abuse continues after warnings;
• legal obligations require termination.

Termination does not remove obligations arising before termination, including outstanding disputes, investigations, or legal responsibilities.

30. User Acknowledgement

By continuing to use the Platform, you acknowledge that:

• you understand this User Agreement;
• you agree to comply with Platform policies;
• you accept responsibility for your account activities;
• you understand that violations may result in enforcement action;
• you agree to cooperate with lawful investigations where required.

This acknowledgement forms an essential part of your contractual relationship with SingWithMe Records.

31. Dispute Resolution

SingWithMe Records encourages all users to resolve disputes fairly, professionally, and in good faith before pursuing formal legal action.

Disputes may include, but are not limited to:

• copyright ownership;
• licensing disagreements;
• payment disputes;
• service delivery issues;
• refund requests;
• content ownership;
• account restrictions;
• intellectual property claims.

Where appropriate, the Company may:

• request supporting documentation;
• review platform records;
• communicate with all affected parties;
• temporarily restrict disputed content;
• suspend related transactions;
• recommend mediation or alternative dispute resolution.

The Company reserves the right to make interim decisions necessary to protect the Platform while investigations are ongoing.

32. Platform Investigations

SingWithMe Records may investigate any activity that appears to violate:

• this User Agreement;

• Platform Usage Policy;
• applicable laws;
• intellectual property rights;
• payment requirements;
• security standards.

During an investigation, the Company may:

• request additional information;
• request proof of ownership;
• request identity verification;
• review account history;
• temporarily suspend services;
• preserve relevant records.

Users agree to cooperate with reasonable requests made during investigations.

33. Limitation of Liability

To the fullest extent permitted by applicable law, SingWithMe Records Ltd shall not be liable for:

• user-generated content;
• actions of other users;
• copyright disputes between users;
• loss of profits;
• loss of business opportunities;
• indirect or consequential damages;
• delays caused by third-party providers;
• interruptions in internet connectivity;
• temporary platform outages;
• failures of third-party payment providers.

Nothing in this Agreement excludes liability where such exclusion is prohibited by law.

34. Indemnification

Users agree to indemnify, defend, and hold harmless SingWithMe Records Ltd, its directors, officers, employees, contractors, affiliates, successors, and agents from and against any claims, liabilities, losses, damages, costs, expenses, or legal fees arising from:

• breach of this Agreement;
• unlawful conduct;
• copyright infringement;
• misuse of the Platform;
• violation of third-party rights;
• fraudulent activity;
• breach of applicable laws.

This obligation survives termination of the user account.

35. Privacy

By using the Platform, users acknowledge that:

• security measures are implemented to protect user information;

Accordingly, the Company may:

• modify existing services;
• discontinue services;
• update functionality;
• introduce additional security measures;
• modify user interfaces.

Where reasonably practicable, significant changes affecting users will be communicated through the Platform or other appropriate channels.

37. Force Majeure

SingWithMe Records shall not be liable for delays or failures resulting from events beyond its reasonable control, including but not limited to:

• natural disasters;
• acts of government;
• war;
• terrorism;
• civil unrest;
• labour disputes;
• internet failures;
• utility outages;
• cyber attacks;
• pandemics;
• failures of third-party infrastructure.

During such events, Platform services may be temporarily interrupted or modified.

38. Termination of this Agreement

This Agreement remains effective while a user maintains an account or otherwise uses the Platform.

The Agreement may terminate:

• when the user permanently closes their account;
• when the Company terminates access;
• where required by law;
• where continued operation becomes impossible.

Certain provisions survive termination, including those relating to:

• intellectual property;
• confidentiality;
• liability;
• indemnification;
• dispute resolution;
• legal compliance.

39. Governing Law

This User Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which SingWithMe Records Ltd is incorporated, unless mandatory consumer protection legislation provides otherwise.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where applicable law grants consumers additional rights.

40. Electronic Communications

By using the Platform, users consent to receive communications electronically.

Electronic communications may include:

• account notifications;
• security alerts;
• legal notices;
• transaction confirmations;
• policy updates;
• customer support responses.

Electronic communications satisfy any legal requirement that communications be provided in writing where permitted by law.

41. Severability

The invalid provision shall be interpreted, where possible, in a manner that most closely reflects the original intent.

42. No Waiver

Failure by SingWithMe Records to enforce any provision of this Agreement shall not constitute a waiver of any rights.

Any waiver must be made expressly in writing by an authorised representative of the Company.

43. Assignment

Users may not transfer or assign their rights or obligations under this Agreement without prior written consent from SingWithMe Records.

The Company may assign its rights and obligations in connection with:

• business restructuring;
• sale of assets;
• corporate reorganisation.

44. Entire Agreement

This User Agreement, together with the following documents, constitutes the entire agreement between the user and SingWithMe Records:

These documents supersede any previous agreements relating to the same subject matter.

46. Definitions

Account means a registered user account on the Platform.

Artist means any creator distributing musical works through the Platform.

Content includes music, audio, video, artwork, text, graphics, metadata, and other uploaded material.

Customer means any person purchasing products or services through the Platform.

Platform means the SingWithMe Records website, mobile applications, marketplace, and related services.

Service Provider means any individual or organisation offering professional services through the Platform.

User means any visitor, registered member, artist, producer, songwriter, customer, service provider, or business partner using the Platform.

Every user agrees to:

• respect other users;
• provide accurate information;
• comply with all Platform policies;
• comply with applicable laws;
• protect account security;
• avoid fraudulent conduct;
• cooperate during investigations.

End of User Agreement
