Digital Artist Agreement

As an artist on our platform, you agree to the following responsibilities to ensure a smooth and legal distribution process.

Content Ownership & Rights

• You confirm that you own or have obtained all necessary rights to the music you upload
• You possess valid licenses for samples, beats, or any third-party content used in your recordings
• You have permission from all featured artists, producers, and collaborators
• You will not upload content that infringes on others' copyrights, trademarks, or intellectual property

Accurate Metadata

• Provide correct song titles, artist names, album information, and release dates
• Ensure genre classifications and language tags are accurate
• Upload high-quality artwork (minimum 3000x3000px) that complies with streaming platform guidelines
• Update metadata promptly if any information changes

Content Standards

• Comply with platform content guidelines (no hate speech, explicit violence, or illegal content)
• Mark explicit content appropriately
• Respect community standards and fellow artists

By using SingWithMe Records, you grant us certain permissions to distribute and promote your music effectively.

Distribution License

• You grant us a non-exclusive, worldwide license to distribute your music to streaming platforms (Spotify, Apple Music, YouTube Music, etc.)
• This license remains in effect for as long as your content is on our platform
• You can revoke this license by removing your content or terminating your account

Promotional Rights

• We may feature your music in playlists, newsletters, and social media promotions
• Use snippets of your music (up to 30 seconds) for platform marketing
• Display your artist name, profile photo, and bio on our website and promotional materials
• You can opt out of promotional features in your account settings

Content Moderation

• We reserve the right to review uploaded content for compliance with our guidelines
• Content violating copyright laws or community standards may be removed
• We will notify you before removing content, except in cases of legal violations
• You have the right to appeal moderation decisions

We believe artists should be fairly compensated for their work. Here's how revenue sharing works.

Revenue Split

• Artist Share: 85% - You keep 85% of all streaming revenue generated by your music
• Platform Fee: 15% - We retain 15% to cover distribution costs, platform maintenance, and customer support
• No hidden fees, setup costs, or annual charges
• Tips and direct artist support: 95% to artist (5% transaction fee only)

Payment Timeline

• Royalties calculated monthly based on streaming platform reports
• Payments processed 45 days after month-end (allows for streaming platform reporting delays)
• Minimum payout threshold: £10 (lower balances roll over to next month)
• Payment methods: Bank transfer, PayPal, or Wise

Transparency & Reporting

• Real-time analytics dashboard showing streams, revenue, and listener demographics
• Detailed monthly reports breaking down earnings by platform and track
• Export data anytime in CSV or PDF format
• Access historical earnings data for tax purposes

Tax Information

• You are responsible for reporting and paying taxes on your earnings
• We provide annual earnings statements for tax filing
• For UK artists, we report earnings to HMRC as required by law

We respect your freedom to leave at any time. Here's what you need to know about account termination.

Voluntary Termination (By You)

• You may terminate this agreement at any time with 30 days' written notice
• Submit termination request through your account settings or email support@singwithme.com
• Your content will be removed from all streaming platforms within 30 days
• You'll receive all outstanding royalties up to the termination date
• No cancellation fees or penalties apply

Platform-Initiated Termination

We may suspend or terminate accounts under the following circumstances:

• Copyright Violations: Repeated uploads of content you don't own rights to
• Fraudulent Activity: Stream manipulation, fake plays, or payment fraud
• Content Violations: Uploading prohibited content (hate speech, illegal material)
• Terms Breach: Violating any terms of this agreement after written warning

Post-Termination

• Content removed from all platforms within 30 days
• Access to analytics and historical data for 90 days
• Outstanding payments processed according to normal schedule
• You retain all rights to your music - we have no claims after termination
• You may re-join the platform in the future unless terminated for fraud

These provisions protect both artists and the platform while maintaining fairness and transparency.

Limitation of Liability

• We are not liable for streaming platform payment delays or changes to their policies
• Not responsible for loss of revenue due to platform outages, technical issues, or force majeure events
• Maximum liability limited to royalties owed to you in the 12 months prior to any claim
• We maintain reasonable security measures but cannot guarantee complete protection against data breaches

Indemnification

• You agree to indemnify SingWithMe Records against claims arising from copyright infringement of your uploaded content
• You're responsible for legal costs if your content violates third-party rights
• We'll notify you immediately of any claims and give you opportunity to defend
• This protects both parties from unauthorized content uploads

Dispute Resolution

• Contact our support team first for any issues - we resolve 95% of concerns directly
• If unresolved, disputes may be submitted to mediation before legal action
• Mediation costs shared equally between parties
• You retain the right to pursue legal action if mediation fails

Governing Law

• This agreement is governed by the laws of England and Wales
• Legal disputes subject to jurisdiction of UK courts
• For international artists, local consumer protection laws may also apply

Agreement Updates

• We may update these terms to reflect platform changes, new features, or legal requirements
• You'll receive 30 days' notice before any material changes take effect
• Notice sent via email and in-platform notification
• Continued use of the platform after changes constitutes acceptance
• If you disagree with changes, you may terminate your account without penalty

Severability

If any provision of this agreement is found unenforceable, the remaining provisions remain in full effect. Unenforceable provisions will be modified to reflect the parties' intent as closely as possible.

Entire Agreement

This document constitutes the complete agreement between you and SingWithMe Records regarding music distribution services. It supersedes all prior discussions, negotiations, or agreements.
